By accessing or using our website at growthcapital.ae (the “Website”), submitting an application or consultation request, or engaging our advisory services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.

Growth Capital provides private advisory services encompassing wealth management, legal advisory, accounting and tax advisory, tax-efficient relocation planning, premium residency and golden visa facilitation, private banking setup, wealth structuring, and access to venture capital and private equity deal flow (collectively, the “Services”). Our Services are advisory in nature. We do not exercise discretionary management authority over your assets, execute trades on your behalf, or hold client funds or securities at any time.
2.2 No Investment Advice via the Website
The information presented on this Website is for general informational purposes only and does not constitute investment advice, a solicitation, an offer to buy or sell any securities, or a personal recommendation. Nothing on this Website should be interpreted as a specific investment recommendation tailored to your individual circumstances. All investment-related advisory is provided exclusively through private, personalised consultations with our advisory team following a formal engagement.
2.3 Professional Referrals

3. Application and Consultation Process
3.1 Preliminary Application
The Website features a multi-step application form that collects preliminary information about your financial profile, objectives, and areas of interest. Submitting this form constitutes a request for a consultation and does not create a client-advisor relationship, obligate Growth Capital to accept you as a client, or bind either party to any engagement.
3.2 Review and Qualification
All applications are reviewed by our advisory team. Growth Capital reserves the sole and absolute discretion to accept, decline, or defer any application without providing reasons. We are under no obligation to engage with every applicant.
3.3 Private Consultation
Qualified applicants will be invited to a private, confidential consultation. This consultation serves as a mutual assessment of suitability and is conducted without obligation to either party. A formal advisory relationship commences only upon the execution of a separate engagement agreement between you and Growth Capital.
3.4 Accuracy of Information
You represent and warrant that all information provided to Growth Capital, whether through the Website application form, during consultations, or otherwise, is truthful, accurate, complete, and not misleading. You agree to promptly notify Growth Capital of any material changes to the information you have previously provided. Growth Capital shall not be liable for any consequences arising from your provision of inaccurate, incomplete, or misleading information.
4. Eligibility
4.1 Intended Audience
Our Services are designed for high-net-worth individuals (“HNWI”) and ultra-high-net-worth individuals (“UHNWI”) who possess the financial sophistication, experience, and resources appropriate for the types of advisory services and investment opportunities we facilitate.
4.2 Age Requirement
You must be at least 18 years of age, or the age of legal majority in your jurisdiction of residence, whichever is greater, to use this Website or engage our Services. By using the Website, you represent and warrant that you meet this age requirement.
4.3 Jurisdictional Restrictions

Specific fees, retainers, success-based arrangements, or other compensation structures are not published on this Website and will be set out in the engagement agreement between you and Growth Capital.
5.2 Third-Party Costs
In the course of delivering our Services, third-party costs may be incurred, including but not limited to legal fees, government application fees, accounting charges, bank charges, and regulatory filing costs. Unless expressly agreed in writing, such third-party costs are your responsibility and are separate from Growth Capital’s advisory fees.
5.3 No Fees for Website Use
Access to the Website and the submission of a consultation application are provided at no charge. No fees are collected through the Website.
6. No Guarantee of Returns or Outcomes
Growth Capital does not guarantee or warrant any particular investment return, financial outcome, or result. Past performance, whether of Growth Capital, its team, or any investment opportunity presented, is not indicative of future results.
All investments carry risk, including the potential loss of principal. Venture capital and private equity investments, in particular, are illiquid, speculative, and involve a high degree of risk, including the possibility of total loss.
Any projections, forecasts, estimates, or forward-looking statements provided during consultations or in connection with our Services are illustrative only, are based on assumptions that may not materialise, and should not be relied upon as predictions of actual results.
7. Confidentiality
7.1 Our Obligations
Growth Capital treats all personal, financial, and business information provided by you as strictly confidential. We will not disclose your confidential information to any third party except: (a) with your express prior written consent; (b) to our affiliates, advisors, service providers, or professional partners who have a need to know and are bound by confidentiality obligations no less protective than those set out herein; (c) as required by applicable law, regulation, court order, or the directive of a competent regulatory authority; or (d) as necessary to provide the Services you have engaged us to deliver.
7.2 Your Obligations
You agree to maintain the confidentiality of all proprietary information, investment memoranda, deal terms, research, analysis, and other materials provided to you by Growth Capital. You shall not reproduce, distribute, or disclose such materials to any third party without our prior written consent.
7.3 Survival
The confidentiality obligations set forth in this section shall survive the termination or expiration of these Terms and any engagement agreement for a period of five (5) years.
8. Anti-Money Laundering and Know Your Customer
8.1 Compliance Framework
Growth Capital is committed to full compliance with applicable anti-money laundering (“AML”), counter-terrorism financing (“CTF”), and sanctions laws and regulations, including but not limited to UAE Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism and Illegal Organisations, and its implementing regulations and guidance issued by competent UAE authorities.
8.2 Know Your Customer Procedures
Prior to the formal establishment of any advisory engagement, Growth Capital will conduct know-your-customer (“KYC”) verification procedures. You agree to provide all documentation and information reasonably requested for the purposes of identity verification, source-of-funds verification, source-of-wealth assessment, sanctions screening, and politically exposed person (“PEP”) screening. Such documentation may include, without limitation, valid government-issued identification, proof of address, bank references, source-of-wealth declarations, and corporate documentation for legal entities.
8.3 Ongoing Monitoring
Growth Capital reserves the right to conduct enhanced due diligence and ongoing monitoring as required by applicable law. We may request additional information or documentation at any time during the course of our engagement and may suspend or terminate Services if satisfactory KYC and AML requirements are not met.
8.4 Suspicious Activity Reporting
Growth Capital is obligated to report suspicious transactions and activities to the UAE Financial Intelligence Unit and other relevant authorities as required by law. Such reports may be made without notice to you, and Growth Capital shall incur no liability for any loss arising from the making of such reports in good faith.
9. Intellectual Property
9.1 Ownership
All content on this Website, including but not limited to text, graphics, logos, trademarks, service marks, images, design elements, user interface, layout, data compilations, research, and software (collectively, “Website Content”), is the exclusive property of Growth Capital or its licensors and is protected by applicable intellectual property laws of the United Arab Emirates and international treaties.
9.2 Permitted Use
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and view the Website Content solely for your personal, non-commercial use in connection with evaluating or engaging Growth Capital’s Services. 11. Limitation of Liability
11.1 General Limitation
To the fullest extent permitted by applicable law, Growth Capital, its officers, directors, partners, employees, agents, affiliates, and service providers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, business opportunities, or investment returns, arising out of or in connection with your use of the Website, your engagement of our Services, or any information or materials provided to you, regardless of the theory of liability and even if Growth Capital has been advised of the possibility of such damages.
11.2 Maximum Liability
In no event shall Growth Capital’s aggregate liability to you, whether in contract, tort (including negligence), strict liability, or otherwise, exceed the total fees actually paid by you to Growth Capital during the twelve (12) months immediately preceding the event giving rise to the claim, or one thousand United States Dollars (USD 1,000), whichever is greater.
11.3 Exclusions
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable UAE law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Growth Capital, its officers, directors, partners, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your use of the Website or Services; (c) your violation of any applicable law, regulation, or third-party right; (d) your provision of inaccurate, incomplete, or misleading information; or (e) any dispute between you and a third party arising from an introduction or referral made by Growth Capital.
13. Third-Party Links and Services
The Website may contain links to third-party websites, platforms, or services, including but not limited to scheduling tools, financial data providers, and regulatory bodies. These links are provided solely for your convenience. Growth Capital does not endorse, control, or assume responsibility for the content, accuracy, privacy practices, or availability of any third-party website or service.

16. Force Majeure
Growth Capital shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, government actions or sanctions, embargoes, regulatory changes, cyberattacks, disruption of telecommunications or internet services, power failures, strikes, or other labour disputes. Growth Capital shall use reasonable efforts to mitigate the effects of any force majeure event and shall resume performance as soon as reasonably practicable after the cessation of such event.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the federal laws of the United Arab Emirates and, where applicable, the local laws of the Emirate of Dubai, without regard to conflict of laws principles.
17.2 Jurisdiction
Any dispute, claim, or controversy arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates. You irrevocably submit to the jurisdiction of such courts and waive any objection to the exercise of such jurisdiction.
17.3 Pre-Litigation Resolution
Before commencing any legal proceedings, the parties agree to attempt to resolve any dispute amicably through good-faith negotiations for a period of not less than thirty (30) days following written notice of the dispute. Such notice shall be sent to the addresses specified in Section 21 of these Terms.
18. Modification of Terms
Growth Capital reserves the right to amend, modify, or replace these Terms at any time at its sole discretion. Any material changes will be reflected by updating the “Effective Date” and “Last Updated” date at the top of this page. It is your responsibility to review these Terms periodically.
Your continued use of the Website following the posting of revised Terms constitutes your acceptance of and agreement to the revised Terms. If you do not agree to the revised Terms, you must cease using the Website. For existing clients under an engagement agreement, any amendments to these Terms that materially affect the engagement will be communicated directly.
19. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy and any executed engagement agreement, constitute the entire agreement between you and Growth Capital with respect to the subject matter hereof and supersede all prior or contemporaneous oral or written communications, proposals, and representations with respect to the Website or the Services.
20.2 Waiver
No failure or delay by Growth Capital in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any further exercise of that or any other right, power, or remedy.
20.3 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Growth Capital. Growth Capital may freely assign its rights and obligations under these Terms to any affiliate, successor, or acquirer without your consent.
20.4 No Agency
Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Growth Capital, except as expressly set forth in a separate written agreement.
20.5 Language
These Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
